Buying Software Licences Second Hand: What Is Legal, and What Actually Activates

Second-hand software has a worse reputation than it deserves, and a better one than some sellers deserve. The legal position in the EU is clearer than most buyers realise, and the practical question — will this key activate on my machine — has almost nothing to do with the legal one.

The legal part, briefly

In 2012 the Court of Justice of the European Union ruled in UsedSoft v Oracle that once a copy of software is sold in the EU with a perpetual licence, the rightsholder's distribution right in that copy is exhausted. In plain terms: a perpetual licence lawfully bought in the EU can generally be resold, and the buyer counts as a lawful acquirer.

Three limits matter more than the headline.

Perpetual, not subscription	A monthly or annual subscription is a service, not a sold copy. Resale rules do not apply.
The seller must stop using it	The original copy has to be made unusable. One licence, one active user.
Volume licences cannot be split	A five-seat pack sold as five singles is not covered by the ruling.

What actually decides whether a key works

The legal question and the activation question are separate, and buyers routinely confuse them. A perfectly lawful licence can fail to activate, and an unlawful one can activate fine. What determines activation is these five things.

Region lock and prior binding account for most failures. Both are answerable in one sentence by any seller who knows what they are selling, which makes them a good test of whether they do.

The one thing to do first

Activate immediately, on the device you will actually use, while the seller is still reachable.

That single habit resolves nearly every problem in the table above, because every one of them surfaces at activation. A key that activates cleanly on your hardware is effectively settled. A key you file away for later is a key you will be arguing about alone in three months.

Subscriptions are a different transaction

Streaming, cloud and monthly software are not licences you own, they are accounts you access. That changes what you should ask entirely.

A licence is checked at activation and then it is yours.
A subscription account stays under someone's control, and the questions become the account questions: who holds the registration email, is two-factor transferable, and what happens after the escrow window closes.

Buy perpetual, verify the edition and region before paying, and activate the same day. Skip anything subscription-shaped, and skip anything that came out of a volume pack.

Why do some cheap keys stop working after a while? The most common causes are a key sold from a volume pack, or the same key sold to more than one buyer. Both usually surface as a deactivation weeks later, which is why activating immediately and keeping the confirmation matters.

What is an OEM key and should I avoid it? OEM licences are tied to the hardware they shipped with. They are legitimate, but they are not transferable in the way a retail licence is, so they should never be sold as retail. Ask for the exact edition name.

Does a discount mean something is wrong? Not by itself. Second-hand and regional pricing are legitimate reasons for a lower price. It becomes a warning sign when a seller will not name the edition, the region, or whether the key has been activated before.
